## Description

The Senior Managers and Certification Regime (SM&CR) is designed to improve accountability, governance and culture in financial services firms. It sets clear expectations on who is responsible for what, how responsibilities are allocated and handed over, and how individuals are assessed as fit and proper. This course provides a practical guide to complying with the SM&CR day to day. It can be used as an ongoing reference to refresh knowledge and understanding at any time.

## Learning Objectives

- Know what prescribed responsibilities are, who allocates them, and how to get the allocation right
- Understand what to do when hiring people for regulated roles
- Understand the importance of reporting lines, what Management Responsibilities Maps should show, and how firms with overseas staff should think about their reporting structures
- Recognise what good delegation looks like, who you can delegate to, and how to evidence proper oversight of delegated work
- Understand when a handover is required, what should be in a handover certificate, and what to do when the outgoing and incoming SMF don't overlap
- Know which breaches must be reported and how often, and the timing rules that apply when a Senior Manager is involved
- Know who counts as a Material Risk Taker and why mapping them matters, and how the rules on remuneration and certification apply
- Understand what the FCA expects firms to consider, how to handle prior convictions or disciplinary issues, and where personal conduct can affect professional standing
- Know what counts as non-financial misconduct, how psychological safety supports good culture, and the action that firms are expected to take
- Understand what reasonable steps look like in practice, the documentation that supports them, and how to evidence them when the regulator asks
- Know what handoffs are and how to make sure that there are no gaps
- Understand how to prepare for SMF regulatory interviews
- Recognise the best practice approach for assessing the most senior SMFs
- Understand when a regulatory reference is required and what it must contain, and how recent reforms have changed the timeline for providing one
